Please read these Terms and Conditions ("Terms") carefully before using the Luma mobile application (the "App") operated by Luma ("we," "our," or "us").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Description of Service

Luma is an AI-powered meeting copilot for iOS. The App provides:

  • On-device audio capture and speech-to-text transcription during meetings

  • AI-generated real-time suggestions, such as questions to ask or points to raise

  • Post-meeting summaries including key points, action items, and comprehension quizzes

  • Meeting history and saved insights

The App requires an active internet connection to deliver AI-generated features. On-device transcription may function without connectivity, but suggestions, summaries, and other AI features will not be available offline.

2. Eligibility

You must be at least 13 years of age to create an account and use the App. By using the App, you represent that you meet this age requirement.

3. Account Registration

To use the App, you must create an account by providing your name, email address, and a password. You are responsible for:

  • Maintaining the confidentiality of your account credentials

  • All activity that occurs under your account

  • Notifying us promptly at support@lumameetings.com if you suspect unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Meeting Recording and Consent

This is your responsibility. Luma captures audio from your device's microphone and processes it into text during meetings. Laws regarding the recording of conversations vary by jurisdiction:

  • Some jurisdictions require the consent of all parties to a conversation before any recording or processing of audio (known as "two-party" or "all-party" consent).

  • Other jurisdictions require the consent of only one party (typically the person doing the recording).

  • Some jurisdictions prohibit recording in certain contexts entirely.

By using Luma, you agree that:

  • You are solely responsible for understanding and complying with all applicable federal, state, provincial, and local laws regarding the recording and processing of conversations in your jurisdiction and the jurisdictions of all meeting participants.

  • You will obtain any and all required consents from meeting participants before activating Luma's listening features.

  • You will not use the App to record or process conversations where doing so would be unlawful.

  • You will inform meeting participants that AI-powered transcription and analysis is active, where required by law or workplace policy.

We expressly disclaim any liability for your failure to obtain required consents or for any unlawful use of the App's audio capture and transcription features. You agree to indemnify and hold us harmless from any claims, damages, or legal proceedings arising from your use of the App in violation of applicable recording or privacy laws.

5. Subscription Plans and Billing

5.1 Plans

Luma offers the following subscription plans:

  • Pro: Expanded meeting minutes and full AI features for a monthly subscription fee

  • Power: Maximum meeting minutes and premium features for a monthly subscription fee

Current pricing and plan details are displayed within the App. We reserve the right to modify plan features and pricing with reasonable notice.

5.2 Billing

Paid subscriptions are billed through Apple's In-App Purchase system. By subscribing, you agree to Apple's terms of service for in-app purchases. All billing, payment processing, and refunds are handled by Apple.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date. You can manage or cancel your subscription through your Apple ID settings (Settings > Apple ID > Subscriptions).

5.4 Refunds

Refund requests for subscriptions must be directed to Apple, as we do not process payments directly. Visit https://support.apple.com/en-us/HT204084 for Apple's refund process.

5.5 Minute Limits

Each plan includes a monthly allocation of meeting minutes. When your allocation is exhausted, the App will prompt you to upgrade. Unused minutes do not roll over to the next billing period.

6. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose, including unauthorized recording of conversations

  • Attempt to reverse engineer, decompile, or disassemble the App

  • Interfere with or disrupt the App's servers or infrastructure

  • Use the App to harass, stalk, or monitor any individual without their knowledge and consent

  • Share your account credentials with others or allow others to access your account

  • Use automated systems or scripts to access the App

  • Transmit malicious content through the App

  • Resell, redistribute, or commercially exploit the App or its outputs without our written permission

We reserve the right to suspend or terminate your access for any violation of these Terms.

7. AI-Generated Content

Luma uses artificial intelligence to generate meeting suggestions, summaries, key points, action items, and quiz questions. The AI processing is provided by Anthropic (Claude AI); see our Privacy Policy for details on what data is shared and how it is handled. You acknowledge and agree that:

  • AI outputs are not guaranteed to be accurate, complete, or appropriate. They are generated algorithmically based on transcript text and may contain errors, misinterpretations, or omissions.

  • AI suggestions are informational only. They do not constitute professional, legal, medical, financial, or any other form of advice. You should exercise your own judgment before acting on any AI-generated suggestion.

  • You are responsible for verifying the accuracy and appropriateness of any AI-generated content before relying on it or sharing it with others.

  • We do not guarantee that the AI will generate suggestions for every meeting or every transcript segment. The AI determines whether a suggestion is warranted based on the content of the conversation.

8. Intellectual Property

8.1 Our Property

The App, including its design, code, features, branding, and AI models, is owned by us or our licensors and is protected by intellectual property laws. These Terms do not grant you any ownership rights in the App.

8.2 Your Content

You retain ownership of your meeting transcripts and any data you input into the App. By using the App, you grant us a limited, non-exclusive license to process your content solely to provide the App's features and services to you.

We do not use your meeting content to train AI models or for any purpose beyond delivering the App's services.

9. Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy at https://www.lumameetings.com/policies/privacy-policy.

10. Disclaimers

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE

  • TRANSCRIPTIONS WILL BE ACCURATE OR COMPLETE

  • AI-GENERATED CONTENT WILL BE ACCURATE, RELEVANT, OR APPROPRIATE

  • THE APP WILL MEET YOUR SPECIFIC REQUIREMENTS

  • DEFECTS WILL BE CORRECTED IN ANY PARTICULAR TIMEFRAME

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless Luma and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use of the App

  • Your violation of these Terms

  • Your violation of any applicable law, including recording consent laws

  • Your violation of any third-party rights

13. Termination

13.1 By You

You may stop using the App at any time. To permanently delete your account and associated data, open the Profile screen in the App, tap Delete account, and confirm. Active subscriptions are billed by Apple and are not cancelled automatically when you delete your account — you must cancel through Settings → Apple ID → Subscriptions to stop further billing.

13.2 By Us

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Reasons for termination may include violation of these Terms, suspected fraudulent or abusive activity, or extended inactivity.

13.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. We will delete your account data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination (including Sections 4, 7, 10, 11, 12, and 14) will survive.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction. The arbitration shall take place in North Carolina.

CLASS ACTION WAIVER: You agree that any disputes will be resolved on an individual basis and not as part of any class, consolidated, or representative action.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the App and updating the "Last Updated" date above. Your continued use of the App after changes are posted constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the App and cancel any active subscription.

16. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the App.

  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
